FUNCTIONS AND POWERS OF OFFICERS

President – the President shall be the Chief Executive officer of the association. He shall preside in all meetings of the association and of the Board of Trustees. He shall execute all resolutions of the Board of Trustees. He shall be charged of directing and overseeing the activities of the association. He shall submit to the Board as soon as possible after the close of the fiscal year, and to the members of each annual meeting, a complete report of the activities and operations of the association for the fiscal year under his term.

Vice President – the Vice President, if qualified, shall exercise all powers and perform all the duties of the President during the absence or incapacity of the latter and shall perform duties that may be assigned by the Board of Trustees.

Secretary – the Secretary shall give notices required by these by-laws and keep the minutes of all meetings of the members and of the Board of Trustees in a book kept for the purpose. He shall keep the seal of the association and affix such seal to any paper or instrument requiring the same. He shall have custody of the members register and the correspondence files of the association. He shall also perform all such other duties and work as the Board of Trustees may from time to time assign to him.

Treasurer – the Treasurer shall have charge of the funds, receipts, and disbursement of the association. He shall keep all moneys and other valuable of the association in such banks as the Board of Trustees may designate. He shall keep and have charge of the books of accounts. He shall also perform such other duties and functions as may be assigned to him from time to time by the Board of Trustees.

The Auditor – the Auditor shall have the responsibility of planning and performing audits to obtain reasonable assurance about whether the financial statements of the association are free of material misstatement, whether caused by error or fraud, and of expressing an opinion on the fairness with which they present, in all material respects, the financial position, results of operations, and cash flows, in conformity with the generally accepted accounting principles.

Public Information Officer – The PIO shall gather relevant and necessary facts and distribute them to the members and/or the media/public.

POWERS, DUTIES AND RESPONSIBILITIES OF THE BOARD OF TRUSTEES

Board of Trustees shall have the following powers, duties and responsibilities:

a.) To conduct, manage and control the business, affairs and activities of the association;

b.) To lay out policies, rules and regulations not inconsistent with the laws of the Republic of the Philippines or the Articles of Incorporation or By-Laws of the association as may be necessary for the management of the affairs, guidance and control of the officers and members of the association;

c.) To appoint, fix remuneration, prescribe duties and remove and/or replace officers and employees of the association;

d.) To establish chapters of the association in such places in the Philippines and/or abroad where sufficient number of members reside;

e.) To adopt rules for undertaking projects, programs, making grants or giving aids pursuant to the purposes and objectives of the association;

f.) To incur indebtedness from members;

g.) To ensure that the funds and properties of the association are used for the purpose for which they are intended; and

h.) To do any and all other acts and deeds in accordance with the Corporation Code of the Philippines and relevant laws as may be necessary or proper under the circumstance in order to carry out the powers herein granted.
